1. Agreement

These Terms of Use ("Terms") govern access to and use of the Vinomatcher website, applications, and related services (collectively, the "Platform") operated by Vinomatcher ("we", "us"). By registering or using the Platform, you ("User") agree to these Terms. If you use the Platform on behalf of a company, you represent that you have authority to bind that entity.

2. Nature of the Platform

Vinomatcher is a business-to-business discovery, profiling, and messaging environment for wine producers, importers, and related trade participants. The Platform facilitates introductions and information exchange only. Vinomatcher is not a broker, distributor, merchant of record, carrier, customs agent, payment processor, or insurer.

3. Platform non-liability

To the fullest extent permitted by applicable law, Vinomatcher and its officers, directors, employees, and affiliates shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunities, arising out of or related to your use of the Platform or any interactions with other Users, whether based on contract, tort, strict liability, or otherwise, even if advised of the possibility of such damages.

The Platform, all content, listings, verification badges, and communications tools are provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant uninterrupted or error-free operation.

Nothing on the Platform constitutes an offer to sell or buy wine, an endorsement of any User, or a guarantee of product quality, authenticity, regulatory compliance, or financial standing.

4. User due diligence

You are solely responsible for conducting your own due diligence on any counterparty you engage through the Platform, including identity, authorizations, licenses, financial condition, product authenticity, labelling, customs classification, excise, sanctions, anti-bribery compliance, and suitability for your market. Any verification labels or tiers displayed on the Platform (including domain, document, or elite indicators) are assistive signals only and do not replace independent legal, financial, or customs advice.

You agree that commercial terms, contracts, shipments, payments, samples, and dispute resolution are strictly between Users. Vinomatcher is not a party to such dealings and assumes no responsibility for performance, non-performance, or fraud between Users.

5. Accounts and security

You must provide accurate registration information and keep credentials confidential. You are responsible for all activity under your account. We may suspend or terminate accounts that violate these Terms or pose risk to the Platform or other Users.

6. Content and intellectual property

Users retain ownership of content they submit but grant Vinomatcher a non-exclusive, worldwide licence to host, display, and distribute such content for the purpose of operating and promoting the Platform. You warrant that your content does not infringe third-party rights or violate applicable law.

7. Prohibited conduct

You may not misuse the Platform, scrape data without consent, transmit malware, harass Users, circumvent security, or use the Platform for unlawful discrimination, sanctions evasion, or fraud. We may investigate and cooperate with authorities where required.

8. Indemnity

You agree to indemnify and hold harmless Vinomatcher from claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Platform, your content, your dealings with other Users, or your breach of these Terms, to the extent permitted by law.

9. Limitation of liability

Where liability cannot be excluded, our aggregate liability arising out of these Terms or the Platform shall not exceed the greater of (a) the fees you paid to Vinomatcher in the twelve (12) months preceding the claim, or (b) one hundred euros (€100), except where mandatory law provides otherwise.

10. Changes and law

We may update these Terms by posting a revised version on the Platform. Continued use after changes constitutes acceptance. These Terms are governed by the laws designated in your commercial agreement with us, or otherwise by the laws of the jurisdiction in which Vinomatcher is established, without regard to conflict-of-law rules.
